Does every Singapore company need a company secretary?+

Yes. The Companies Act requires every company to appoint a secretary within six months of incorporation, and the position can't be left vacant for more than six months. Sole directors cannot appoint themselves. Nebis provides a named, qualified secretary as part of the engagement.

When is my annual return due?+

For non-listed companies, within seven months of your financial year-end, after holding the AGM (or validly dispensing with it). Late lodgement means penalties for the company and, repeatedly, for directors. Our engine tracks this per entity so the return is drafted well before the window closes.

Can you incorporate a company for foreign founders?+

Yes — with one requirement to plan for: every Singapore company needs at least one locally resident director. We'll advise on the cleanest structure for your situation, set up the entity, registers and constitution, and act as your secretary from day one.
